Corporate Governance

CMS Bureau Francis Lefebvre Mercosur has developed an essential tool, the Worldwide Corporate Governance Due Diligence.

The vast majority of Western European countries have enacted a set of regulations through which international practices of corporate governance are adopted.

We advise the directors, officers and senior management of European, South American and US listed companies in relation to legal and regulatory requirements, relations with shareholders and investors, best practice and disclosure and filing requirements with the relevant financial services and stock exchange authorities.

We also assist our clients in respect of entities based in the Mercosur (Argentina, Brazil, Paraguay and Uruguay) or Mercosur associated member countries, reviewing all matters directly or indirectly related to corporate governance. We identify the liability of directors and officers of subsidiaries based in the Mercosur (Argentina, Brazil, Paraguay and Uruguay) in order to limit the exposure of the parent company and its directors and officers to risk or liability for infringement of any applicable local rules and regulations.
